Become a co-owner

By investing in UNTŪ, you purchase shares in our Dutch entity ‘UNTŪ Ubud Propco B.V.’ Herewith, you become a valued co-owner of a stunning eco-luxury mini-resort and a bespoke well-being concept in Ubud – Bali, Indonesia.

‘UNTŪ Ubud Propco B.V.’ entity in turn holds ownership of our Indonesian legal foreign investment company (our ‘PT PMA’), which owns the land, the designs, and overall development and operational management of the resort. As an investor, you will have thus invest in the operational company that will oversee the design, development, and day-to-day operation of the villas, with a dedicated operational team at the helm. Moreover, the operational company will also have full ownership of the real estate assets.

Financial returns

From our extensive financial forecast, the average yearly returns for investors will vary between 10 – 16% on their investment. The financial forecast was calculated on conservative figures from comparable offerings and based on five year historic data from Airbnb and Vrbo.

Interesting tax advantages

Due to the advantageous legal structure of UNTŪ, the returns for investors will not be subject to tax as these have already been paid by the legal entity in Indonesia. Hence, the returns are truly net profits.

Of course, the legal entity pays taxes before the returns reach the investors. As the operations will be conducted by the Indonesian legal entity, Indonesian taxes will be paid. These are low compared to Dutch (and most European) taxes. These will include regular VAT and service taxes, land and building taxes, and 10% rental tax over the short-term rental activities.

After all operational costs and taxes have been paid, profit will be distributed to the co-owners as dividend. The final tax payable is the dividend tax to payout profits from the Indonesian entity to the Dutch entity (only 5% – due to a dividend treaty between Indonesia and The Netherlands). As such, the returns will be repaid to investors in the form of dividend. 

Intercorporate investments

At UNTŪ, we have designed our legal structure to offer investors flexibility in how they invest. You can invest as an individual investor, or through your personal holding company or a limited liability company, depending on your preference.

By investing through a holding company or limited liability company, you may be eligible for tax benefits in most countries. We encourage you to consult with your tax advisor to determine the most appropriate investment structure for your personal circumstances.

Liquidity and exit possibility

Our unique legal structure enables the potential for liquidity in a real estate investment.

Unlike traditional real estate investments, we incorporate investors as co-owners in a Dutch legal entity. Therefore, they effectively buy shares. As such, these shares can be offered to the market at any time.

This enables an easier and quick transaction process and offers the highest potential for liquidity besides listed real estate funds.

Land lease in Indonesia

Indonesian land can never truly be owned by foreigners, as this is against the law. However, the safest way to buy land is with the use of a foreign investment company (PT PMA) which we own.

Herewith, the legal entity in Indonesia (our PT PMA) safely obtains the rights to build on and use the land for 30 years, plus a 30 years extension.

In case of pandemics / natural disasters:

  • While unforeseen events such as pandemics or natural disasters cannot be predicted, we are fully prepared to navigate them should they arise. In the case of a situation like COVID, we will shift our focus to national tourism, leveraging the rising Indonesian wealth and growing local tourism industry in Bali to continue providing our guests with a paradise-like experience and our investors with an attractive return.

Step 2

After the meeting you will receive all required documentation to do your research, such as the financials and termsheet. We will of course be available for any questions that may come up during your research.

Step 3

Ready to invest and start capitalizing on a passive income? Investors sign a preliminary termsheet and the digital contract. After finalizing the documentation we will send you the instructions for the share payment.

Step 4

Once the funds are transferred, you will receive the official shareholder agreement and documents. From then onwards co-owners receive regular updates with next steps and monthly updates during the development.
